Harbour Energy expands North Sea footprint with $170 million Waldorf acquisition

LONDON (WO) — Harbour Energy has agreed to acquire most subsidiaries of Waldorf Energy Partners Ltd. and Waldorf Production Ltd. for $170 million, the company announced Dec. 12. The deal, funded through existing liquidity, strengthens Harbour’s position as a leading producer in the UK North Sea.

The acquisition adds approximately 20,000 boed in oil-weighted production and 35 million barrels of proven and probable reserves. It also increases Harbour’s operated stake in the Catcher field to 90% from 50% and brings a 29.5% non-operated interest in the Kraken oil field, creating a new production base in the Northern North Sea.

Harbour said the transaction will be “immediately materially accretive” to free cash flow and improve the long-term resilience of its UK business. Integration of Waldorf’s non-operated assets is expected to deliver operational and financial synergies, including an estimated $350 million in cash release tied to decommissioning liabilities and access to Waldorf’s UK ring fence tax losses.

Completion is expected in the second quarter of 2026, pending regulatory approvals and creditor settlements.

In addition, it facilitates a welcome solution to funding and decommissioning challenges for multiple parties in the UK North Sea.”
